July 14, 2017: | Publication of the finalized amendments to the “Cabinet Office Order on Disclosure of Corporate Affairs” and the “Cabinet Office Order on Restrictions on Securities Transactions” < Summary> The FSA finalized the amendments to the “Cabinet Office Order on Disclosure of Corporate Affairs” and the “Cabinet Office Order on Restrictions on Securities Transactions.” The amendments provide exemption from obligations to submit a report on purchases of regulated securities, and to report notable matters for third-party allocation of securities at the filing of a securities registration statement, when such third-party allocation is transacted as share-based compensation for directors and officers. |
