The FSA proposed the draft amendments to the “Cabinet Office Order on Disclosure of Corporate Affairs” and the “Cabinet Office Order on Restrictions on Securities Transactions.” The proposal provides exemption from obligations to submit a report on purchases of regulated securities, and to report notable matters for third-party allocation of securities at the filing of a securities registration statement, when such third-party allocation is transacted as share-based compensation for directors and officers.
