1. Congratulations on your completion of the Investment Advisory and Agency Business registration. Could you give us an overview of your company?

Who are we?

Thank you. We are happy to be registered to offer our services to Japanese investors.
In 2022, P/E Global LLC (“P/E”) established PE Investments Japan GK (“PE Japan”) as a wholly owned subsidiary. Three partners launched P/E Investments in 1995 from a barn in Weston, Massachusetts. From that modest beginning, we have grown to serve investors around the world. P/E is registered as an investment adviser with the U.S. Securities and Exchange Commission and as a commodity trading advisor and commodity pool operator with the U.S. Commodity Futures Trading Commission.
P/E’s mission is to provide efficient, tailored solutions for institutional and qualified investors. We work to achieve these goals using a fundamentally-based, systematic approach to investing, across asset classes, on a global basis. Our team of professionals offers extensive experience in portfolio management, asset allocation, market analysis, and risk management. We believe that effective diversification, thorough analysis, and consistent risk management lead to superior investment performance. In fact, we celebrated the 20th anniversary of our FX Strategy as of October 1st 2023.
While P/E’s head office is based in Boston, we are a global manager with long standing presence in Singapore and Australia. More recently, we established an office in the UK, and now, Japan.

Why Japan now?

Our investor base is global in nature, but primarily domiciled in English speaking countries. Since P/E’s strategies offer diversifying sources of alpha, we believe that we can provide opportunities to Japanese institutional investors. We also believe that our investment process differentiates us from our competitors.
We have established strong relationships with global investment consultants. We have expanded our presence in Singapore to include trading and operations staff, working round the clock with our Boston-based trading and operations teams. Now, we are looking to build upon that base by expanding our international team. We formed PE Japan to apply for a license to introduce Japanese institutional investors to our investment strategies and services.
As for the timing of the submission of the application, we were impressed with Japan’s stated commitment to work with foreign businesses. The establishment of the Financial Market Entry Office in 2021 to process applications in English was a key incentive for us to begin this process.

Role of PE Japan

P/E is committed to serving institutional investors in Japan. The establishment of PE Japan demonstrates this commitment. P/E works closely with each investor to tailor solutions that address the investor’s specific needs and challenges. In order to provide these services, we need Japanese professionals who can speak directly with Japanese investors, as well as coordinate with P/E staff in Boston. This model has worked for us in other jurisdictions, such as Singapore, Australia, and the UK. We are excited to begin this new chapter in Japan, and hope to offer solutions tailored to Japanese investors

2. What was your impression about the all-in English registration process by the Financial Market Entry Office (FMEO)?

We greatly appreciate that the entire process was conducted in English. This allowed us to communicate efficiently with the regulators and with our counsel. We also appreciate that we are allowed to write PE Japan’s compliance policies in English and that future regulatory communications will be made in English. This allows us to leverage our existing global compliance framework, with additional insight and support from our Compliance Officer in Japan.

I have submitted new license registrations in other jurisdictions; however, this was my first time working in a non-English speaking country. I was pleased to discover that in 2021, JFSA launched an all-in-English license application process. FMEO’s questions, written in English, were clear enough to deepen our understanding of the requirements for the license registration. Further, we had the opportunity to speak with JFSA staff and greatly appreciated their verbal fluency. Finally, all email communications between FMEO and P/E were copied to our external legal counsels making it easier for us to consult with them as necessary.

The FMEO officers with whom we interacted were very professional, knowledgeable, and supportive throughout the entire registration process. For example, in the initial registration meeting, they informed us that both the JIAA membership application and rules were available in English. This enabled us to incorporate JIAA rules into PE Japan’s policies and procedures more efficiently. We also believe it helped us to complete the JIAA admission process following our license registration more smoothly.

3. What is your impression of using Financial Start-up Support Program by JFSA and Tricor Japan?

In the past two years, I have attended several seminars hosted by Tricor featuring the Financial Start-up Support Program. Those seminars were very informative and lead me to recommend them to P/E. I appreciate that the seminars are open to questions from attendees and that they also address regulatory initiatives.

We applied for the JFSA’s Financial Start-up Program and obtained subsidies for certain expenses incurred during business startup and license registration. Tricor Japan coordinated the reimbursement process which was very straightforward.

4. What are PE Japan’s visions for the future?

We see many applications of our strategies in client portfolios. For example, we believe that we can assist Japanese institutional investors to better manage currency risk and reduce hedging costs. In addition, in this increasingly volatile market environment, we believe that our products can provide diversification to standard portfolios.

For example, we leverage Boston’s strong academic infrastructure, supporting graduate studies after two years of full-time employment. We are excited to engage with Japanese institutional investors in discussing potential opportunities and how P/E may assist. PE Japan plans to work with local asset managers, trust banks and certain financial institutions to offer insights and to develop strategies to meet their needs. Japanese investors have been grappling with low interest rates for decades and accordingly their foreign assets have increased significantly over the years. Currency management is critical to Japanese investors, particularly in this new investment regime. Equally important, currency can provide uncorrelated alpha with other asset classes, bringing a diversified source of alpha to an investor’s portfolio. As Warren noted, P/E believes that by utilizing a fundamental systematic approach to investing, currency risk can be appropriately managed and can also generate alpha.

After I joined P/E in June 2023, I travelled to Boston for two months of training. During my time in the Boston office, I realized that P/E is truly a flat organization, with the team caring for their new colleagues, and the senior management devoted to nurturing employees’ health, welfare, and interests. Further, the office was tidy. Chairs and desks were always clean with no coffee or cookie crumbs on the desk demonstrating discipline akin to Japanese culture. P/E endeavors to instill a global culture, reflecting its core values of integrity, leadership, teamwork and commitment. As part of the global P/E team, I will work to provide superior customer service to our Japanese institutional investor base.

Warren Naphtal

Mr. Naphtal has extensive experience in the portfolio management and securities trading fields. He is the co-founder of P/E Investments, and President and Chief Investment Officer. From 1993 to 1995, he was a Senior Vice President and Head of Derivative Strategies at Putnam Investments, managing $3.5 billion. He was also responsible for Putnam’s commodity investments and foreign exchange overlay areas working extensively with core clients in the U.S. and Japan. From 1989 to 1993, he was a Managing Director of Continental Bank, as Head of Global Risk Management and Head of Proprietary Trading and Managing Partner of Cardinal Capital Management. From 1987 to 1989, he was a Vice President of Continental Bank, responsible for Derivatives Trading. In 1987, he co-founded Grace Investments. He is a graduate of both the University of California, Berkeley where he received a B.S. in Civil Engineering in 1983, and the MIT Sloan School, where he was a COGME Scholar, and received a S.M. in Management in 1985.

Ms. Naphtal contributes expertise in the areas of strategic analysis, operations, and macroeconomic research. She co-Founded P/E Investments in 1995, and currently serves as Chief Operating Officer. From 1991 to 1994, she worked as a Strategic Consultant advising major corporations. From 1986 to 1991, she was a management consultant for McKinsey & Co. Previously, she worked for Morgan Stanley & Co., where she participated in corporate finance and mergers & acquisitions transactions. From 1981 to 1984, Ms. Naphtal was a Client Manager at Harper and Schuman, a financial software concern. She is a graduate of Colorado College, where she received a B.A. in Economics, magna cum laude in 1981, and the MIT Sloan School, where she received a S.M. in Management in 1986. She is a member of Phi Beta Kappa, and a recipient of a full Boettcher Scholarship.

Chief Legal Officer, PE Global LLC

Ms. Cirillo joined P/E Investments in 2016, and currently serves as Chief Legal Officer. From 2014 to 2016, Ms. Cirillo was the General Counsel and Chief Compliance Officer of Regiment Capital Advisors, LP, a registered investment adviser serving as an investment adviser to private funds, CLOs and large institutional investors. Prior to joining Regiment, Ms. Cirillo was a Partner in the Investment Management Practice Group at the international law firm of Bingham McCutchen LLP. During her 14-year tenure with Bingham, Ms. Cirillo advised investment advisers, private funds, mutual funds, closed-end funds, institutional investors and placement agents on a broad range of legal and regulatory issues. Ms. Cirillo has also worked as attorney with K&L Gates LLP. Ms. Cirillo graduated with distinction in all subjects from Cornell University in 1997, receiving a Bachelors of Arts, and graduated cum laude from Boston University School of Law in 2000, receiving a Juris Doctorate. In 2021, she received a LL.M. in Taxation from Boston University School of Law

Mr. Otsuka joined P/E Investments in December 2022 to lead investment solutions business in Japan. He had been engaging in investment advisory business at Japan Asset Management Platform, and concurrently serving as Executive Director at Visual Alpha, a fintech company, since 2020. He led delegated solutions business at Mercer in Japan from 2015 to 2018. Prior to that he oversaw the investment department at Invesco Asset Management Japan, from 2010 to 2015. Between 2000 and 2009 he worked at Putnam Investments as institutional portfolio manager and managing director in the fixed income department. From 1984 to 2000, he held various positions with the investment management subsidiaries of Mitsubishi UFJ Financial Group. He holds a Bachelor of Science in Mathematical Economics, and a Master of Science in Monetary Economics, from the London School of Economics and Political Science. He is a Chartered Member of Securities Analysts Association of Japan (CMA).

Mr. Yashiro joined P/E Investments in October 2022, as Compliance Officer-Tokyo. He has over 30 years of experience in the financial services industry in Japan, starting with the Bank of Yokohama, Ltd. from 1984 to 2001. He worked at Manulife Asset Management (Japan) Limited from 2005 to 2011, at Pyramis Global Advisors (Japan) KK from 2011 to 2014, and at Macquarie Asset Management Japan Co., Ltd. from 2014 to 2020. From 2020 to 2022, he worked at Keyaki Capital KK. He received a B.A. of Law from the University of Tokyo in 1984 and an LL.M. from Duke University in 1993. Mr. Yashiro was admitted to the New York State Bar in 1994.

Ms. Suzuki joined P/E Investments in June 2023 as a member of the client services team in Japan. From 2017 to 2023, she focused on overseas corporate access/relationship building at Norinchukin Value Investments (NVIC). She has a vast background in institutional equity sales with sell-side brokerage houses such as Nomura, JP Morgan and Bank of America Securities from 1997 to 2017, primarily focused on selling/marketing non-Japanese equities to Japanese financial institutions. She began her career as a research analyst at Nomura in 1993. She graduated from Sophia University with a B. A. in Comparative Culture, Concentration in International Business in 1993. She is a Chartered Member of Securities Analysts Association of Japan (CMA).
