December 27, 2022 Publication of the draft "Cabinet Office Order to Amend the Regulation on Terminology, Forms and Preparation Methods of Consolidated Financial Statements" for public consultation
<Summary>
The FSA proposed the draft "Cabinet Office Order to Amend the Regulation on Terminology, Forms and Preparation Methods of Consolidated Financial Statements" for public consultation.
The proposal is mainly intended to provide amendments to the "Regulation for Terminology, Forms and Preparation Methods of Consolidated Financial Statements" in response to ASBJ (Accounting Standards Board of Japan) Statement No. 27 pertaining to the amendments to "Accounting Standard for Corporate Taxes, Inhabitants Taxes, and Enterprise Taxes" and other applicable accounting standards.
The FSA also proposed the draft amendments to the FSA's regulatory notice concerning the "designated IFRS (International Financial Reporting Standards)" stipulated in the "Regulation for Terminology, Forms and Preparation Methods of Consolidated Financial Statements" for public consultation. The proposal is mainly intended to define the international accounting standards that have been published through December 31, 2022, by the IASB (International Accounting Standards Board) as "designated international accounting standards" set forth under Article 93 of the Regulation for Consolidated Financial Statements.

December 26, 2022 Publication of draft "Cabinet Orders and Cabinet Office Orders, etc. Pertaining to the Enforcement of the Amendments to the Payment Services Act, etc." for public consultation

The FSA proposed draft "Cabinet Orders and Cabinet Office Orders, etc. Pertaining to the Enforcement of the Act Partially Amending the Payment Services Act, etc." for public consultation.
In response to the enforcement of the "Act Partially Amending the Payment Services Act, etc.," the proposal is mainly aimed at developing a regulatory system for electronic payment instruments (so-called stablecoins), etc., as well as for funds transfer transaction analysis services.
Public comments will be accepted until 12:00 p.m. (noon) [JST], January 31, 2023.

December 26, 2022 Publication of the draft "Principles for the Organizational Management of Audit Firms (Audit Firm Governance Code)" (provisional English title) for public consultation

The FSA proposed the draft "Principles for the Organizational Management of Audit Firms (Audit Firm Governance Code)" (provisional English title) [available only in Japanese] for public consultation.
The proposal is intended to provide amendments to the Audit Firm Governance Code, which will be made mandatory for audit firms auditing listed companies, etc., pursuant to the Cabinet Order to be developed in conjunction with the amendments to the "Certified Public Accountants Act" enforced in May 2022, so that the content of the Code will be suitable for acceptance by small- and medium-sized audit firms, thereby requiring effective discipline in accordance with their scale and other relevant factors.
Public comments will be accepted until 5:00 p.m. [JST], January 31, 2023.

December 23, 2022 Publication of the draft "Cabinet Office Order to Amend the Enforcement Regulation of the Insurance Business Act" for public consultation

The FSA proposed the draft "Cabinet Office Order to Amend the Enforcement Regulation of the Insurance Business Act" for public consultation.
The proposal intends to provide amendments to the said Enforcement Regulation, so that various disclosure regulations under the "Insurance Business Act" can be applicable to IFRS (International Financial Reporting Standards) when an insurance business group voluntarily adopts IFRS and other regulations.
Public comments will be accepted until 05:00 p.m. (JST), January 30, 2023.

December 23, 2022 Publication of the draft "Cabinet Office Order to Amend the Cabinet Office Order on the Audit Certification of Financial Statements"

The FSA proposed the draft "Cabinet Office Order to Amend the Cabinet Office Order on the Audit Certification of Financial Statements" for public consultation.
From the perspective of public interest in auditing, it is beneficial to make information about the business relationship that a certified public accountant or an audit firm has with an audited company available to interested parties. In response, new provisions regarding disclosure of matters related to remuneration have been set forth in the "Code of Ethics" of the Japanese Institute of Certified Public Accountants (JICPA).
In this context, the FSA's proposal is intended to amend the Cabinet Office Order to set forth matters related to remuneration a certified public accountant or an audit firm receives from an audited entity as the matters to be included in the audit report.
Public comments will be accepted until 05:00 p.m. (JST), January 31, 2023.

December 23, 2022 Publication of the finalized "regulatory notice partially amending the measures to be taken with a parent company of a financial instruments business operator, etc., whose parent company is a foreign company, to ensure the continuous implementation of business operations in line with the business management structure that is required to be developed by the person/entity designated by the FSA, pursuant to Article 70-2(6) of the Cabinet Office Order on the Financial Instruments Business, etc." (provisional English title) after public consultation
<Summary>
The FSA published the finalized "regulatory notice partially amending the measures to be taken with a parent company of a financial instruments business operator, etc. whose parent company is a foreign company, to ensure the continuous implementation of business operations in line with the business management structure required to be developed by the person/entity designated by the FSA, pursuant to Article 70-2(6) of the Cabinet Office Order on the Financial Instruments Business, etc." (provisional English title) after public consultation.
The finalized regulatory notice mainly provides amendments in conjunction with the TLAC (Total Loss-Absorbing Capacity) framework for foreign securities companies.
The finalized regulatory notice will take effect on March 31, 2023.

In response to the recommendation made in PDF"Interim Report of the Working Group on Capital Market Regulations"open new window (provisional English title) [available only in Japanese] compiled by the "Working Group on Capital Market Regulations" (provisional English title) of the Financial System Council, the proposal is aimed at developing the environment for financial business operators intending to concurrently engage in investment advisory business as a subsidiary business, by providing the amendments to the said Cabinet Office Order, mainly in terms of the following:

- Review of the application of registration pertaining to investment advisory business, or of the employee who is to submit the notification.

- Matters to be described in the document for delivery prior to the conclusion of an investment advisory contract and discretionary investment management contract, etc.

- Flexibility of media for documents describing the content of advice based on an investment advisory contract

- Review of exemptions from the prohibition of lending, etc. in regard to investment advisory services, and

- Other required amendments.

The FSA finalized the amendments to the "Comprehensive Guidelines for Supervision of Small- and Medium-Sized and Regional Financial Institutions" and other relevant and applicable guidelines after public consultation.
In response to the Cabinet decision to implement economic measures to overcome the high cost of living and achieve economic recovery (as of October 28, 2022), in which the development of the measures toward the establishment of financing practices which do not rely on personal guarantees was determined, the amendments reflect the decision in the said Guidelines as a measure.
The finalized amendments will take effect on April 1, 2023.

In light of the importance of ensuring the ability of financial institutions to keep providing critical operations at a minimum level amidst the rapidly changing environment surrounding financial institutions, the proposal is intended to provide a framework to ensure the operational resilience of financial institutions, with practical points and issues, and with a view to using them as material for dialogues between the FSA and financial institutions toward the implementation of better practices.

The proposal mainly intends to set forth the following in the Guidelines:

- Clarification of interpretation regarding the applicability of various tokens including items and contents issued on the blockchain as crypto-assets
- Supervisory/regulatory response to crypto-asset exchange service providers in light of the diversification of their business models, and

- Supervisory/regulatory response to crypto-asset exchange service providers in cases where a major shareholder of a crypto-asset exchange service provider sells or transfers the crypto asset exchange business by transferring shares to another business entity, and so forth.

By providing amendments to the FSA's comprehensive guidelines for supervision in regard to lending practices by private financial institutions, the FSA intends to tighten procedures for requesting business owners' personal guarantees, thereby restraining lending practices that rely on easy personal guarantees and creating a better understanding/consent from both business owners and guarantors.
The FSA expects that the new lending practices that do not rely on personal guarantee provided by business owners are further instilled among financial institutions, through the publication of "Initiatives to Ensure Dissemination and Instillation of the Guidelines for Personal Guarantee Provided by Business Owners" (provisional English title).

December 16, 2022 Publication of the status of banks' disclosures for allowance for credit losses
<Summary>
In response to the increasing diversification of banks’ calculation methods for allowance for credit losses, the FSA has held a study group to discuss ways to enhance disclosures for allowances in banking, and published a report summarizing the results of its discussion on March 1, 2022.
In order to follow up the status of the disclosures thereafter, the FSA compared and analyzed 2022 annual report of major banks and regional banks with previous year’s annual report, and published its results, based on the opinions of the members of the study group.

January 4, 2023 Request for financial measures to deal with disasters caused by a landslide in Tsuruoka City, Yamagata Prefecture in FY 2022 (The Tohoku Local Finance Bureau)
<Summary>
The Tohoku Local Finance Bureau alongside the Bank of Japan's Sendai Branch issued a statement titled PDF"Financial Measures to Deal with Disasters Caused by a Landslide in Tsuruoka City, Yamagata Prefecture in FY 2022"open new window (provisional English title) [available only in Japanese] to the relevant financial institutions.
The said statement requests financial institutions in Yamagata prefecture to appropriately deal with victims of the disaster considering their circumstances, such as by making the repayment of deposits flexible.
Disaster-affected area in the prefecture is currently subject to the "Disaster Relief Act." If more areas in the prefecture become subject to the said Act, financial institutions in the prefecture will be requested to take measures in the same manner as above accordingly.

December 27, 2022 Administrative action against EXIA Digital Asset K.K. [further suspension of its business operations] (The Kanto Local Finance Bureau)
<Summary>
The Kanto Local Finance Bureau took administrative action against EXIA Digital Asset K.K., a crypto-asset (virtual currency) exchange service provider, pursuant to the "Payment Services Act," ordering further suspension* of the entity's business operations from January 1, 2023, to January 31, 2023, subsequent to the business suspension order (from November 30, 2022, to December 31, 2022) issued on November 30, 2022, in regard to crypto-asset exchange services (excluding those individually approved by the Bureau, such as management of assets in custody and payment transactions for users) and the acceptance of assets from new users in conjunction with such operations. The business improvement order dated November 30, 2022, remains in effect.
 
This administrative action is based on findings by the Bureau, in which the Bureau ascertained that EXIA Digital Asset K.K.'s business management structure is still insufficient to ensure appropriate and reliable crypto-asset exchange business mainly in terms of the following:

- The entity is not deemed to have concrete prospects for securing working capital, including system outsourcing costs, on an ongoing basis, or for ensuring the safe and stable operation of its trading systems, and so forth

- The establishment of a business execution system at the new office location is scheduled to begin in January 2023, and the system to ensure appropriate and reliable execution of the crypto asset exchange business has been found to be insufficient.

* The suspension of business operations will be lifted if a fundamental review of the entity's business management structure to ensure the crypto-asset exchange business is appropriately and reliably carried out and the status of the review is confirmed by a statutory report to be filed by the entity based on the business improvement order.

December 26, 2022 Requests for financial measures to deal with disasters caused by the heavy snow which started on December 22, 2022 (the Hokkaido Local Finance Bureau and the Kanto Local Finance Bureau)

In handling carbon credits, financial institutions are allowed to handle "carbon dioxide equivalent quotas and/or any other quotas similar thereto" under the scope of business regulations in the respective business laws.
The FAQ is intended to help financial institutions determine the applicability* as to whether or not their certain business transactions fall under the category of "any other quotas similar thereto."
 

*The applicability of "any other quotas similar thereto" must be determined on a case-by-case basis from the perspective of the strictness of the examination and approval procedures, clarity of attribution, and other factors. In recent years, carbon credits certified by the private sector have become mainstream, and the FSA believes that it is important for financial institutions to be able to clearly determine whether or not their business transactions fall under the category of "any other quotas similar thereto" in order to promote carbon neutrality at financial institutions.

December 16, 2022 Publication of the main issues raised by the FSA at opinion exchange meetings with relevant associations in the financial sector

The FSA has published the main issues raised by the FSA at opinion exchange meetings* held with relevant associations in the financial sector in November 2022. (Available only in Japanese).
 
The common topic across the groups was:
- Alerts regarding crypto-asset transactions. 

Notable issues discussed by most but not all groups were:

- Attentive customer service regarding ongoing customer management

- Comprehensive economic measures to overcome high prices and revitalize the economy

- Cabinet's "Sub-committee for Doubling Asset-based Incomes"

- Response to the introduction of the invoice system (qualified invoice-based method for a business operator to receive tax credit for consumption tax corresponding to multiple tax rates on purchases).

 

* To enhance the transparency of its administration and to share its awareness of issues in the financial sector in a timely manner, the FSA publishes every month the main issues raised by the FSA at opinion exchange meetings with the relevant associations** in the financial sector. Opinion exchange meetings are held with the respective associations on a regular basis.

 

** In November 2022, opinion exchange meetings were held respectively with seven groups: major banks, etc.; the Regional Banks Association of Japan and the Second Association of Regional Banks; National Central Society of Credit Cooperatives; the Life Insurance Association of Japan; the Japan Securities Dealers Association (JSDA); Labor banks sector; and Japan Virtual and Crypto assets Exchange Association.
